Welcome to Socioo.ai (the “Platform”). The Platform is owned and operated by DigiSphere Solutions Pvt. Ltd. (“DigiSphere”, “Socioo.ai”, “we”, “us”, “our”).
These Terms & Conditions (“Terms”) govern your access to and use of Socioo.ai, including any related websites, web applications, tools, features, and services (collectively, the “Services”).
By creating an account, accessing, or using the Platform in any way, you (“User”, “Customer”, “Client”, “you”, “your”) agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use the Platform.
1. Eligibility & Account Registration
1.1 Minimum age
You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.
1.2 Account registration
To access certain features, you may be required to create an account and provide accurate, current, and complete information. You agree to keep your account information updated.
1.3 Account security
You are responsible for:
Maintaining the confidentiality of your login credentials; and
All activities that occur under your account.
You agree not to:
Share your login credentials with any unauthorized person; or
Allow others to use your account without our permission.
If you believe your account has been compromised, you must notify us promptly at [email protected]. We may suspend or terminate access if we detect or suspect unauthorized, fraudulent, or suspicious activity.
2. Description of the Platform
Socioo.ai is an AI-powered social media content creation and scheduling tool. The Platform helps you:
Generate content ideas and draft posts using AI;
Organize, schedule, and manage posts across supported social media accounts; and
Automate parts of your social media workflow and content management.
Socioo.ai assists you in generating and managing content, but you remain fully responsible for reviewing, editing, approving, and publishing your content, and for complying with all applicable laws and platform rules.
3. Definitions
For the purposes of these Terms:
“Platform” / “Services” means the Socioo.ai web application(s), tools, features, and related services offered by DigiSphere Solutions Pvt. Ltd.
“User Content” means any text, images, videos, links, files, data, or other material that you upload, input, or connect to the Platform (including your prompts).
“AI-Generated Content” means any content generated by or with the assistance of Socioo.ai’s AI features, based on your prompts and settings.
“Content” means User Content and AI-Generated Content together.
“Third-Party Platforms” means social media or other services you connect to the Platform (e.g., Meta/Facebook, Instagram, TikTok, LinkedIn, YouTube, X/Twitter, etc.).
“Subscription” means a paid plan (monthly, annual, or otherwise) that provides access to certain features of the Platform.
4. License to Use the Platform
4.1 Limited license
Subject to these Terms and the timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own business or personal social media management purposes.
4.2 Restrictions
You agree not to:
Copy, modify, adapt, translate, or create derivative works of the Platform;
Reverse engineer, decompile, or attempt to extract source code from the Platform;
Resell, sublicense, lease, or otherwise provide the Platform to any third party (except as allowed under a team/business plan, if applicable);
Use the Platform in any manner that interferes with or disrupts its integrity, performance, or security.
We reserve all rights in and to the Platform not expressly granted to you under these Terms.
5. Third-Party Platforms & Compliance
5.1 Your responsibility
When you connect any Third-Party Platform (e.g., your social media accounts) to Socioo.ai, you agree to comply with:
That platform’s terms of service, community guidelines, and usage policies;
Advertising and promotional rules;
Influencer disclosure and labeling requirements (e.g., sponsored content rules); and
Any applicable intellectual property and privacy laws.
5.2 Use of third-party APIs
Socioo.ai integrates with Third-Party Platforms using their APIs. These services may change their APIs, policies, or functionality at any time, which can impact your use of Socioo.ai. We do not control and are not responsible for such changes.
5.3 No responsibility for bans or restrictions
If a Third-Party Platform restricts, limits, or suspends your account (e.g., due to content violations or perceived automation misuse), Socioo.ai is not liable for:
Loss of access to your social account;
Loss of posts, followers, reach, or engagement;
Any resulting damages or losses.
You are solely responsible for ensuring your usage complies with each Third-Party Platform’s rules.
6. User Content & AI-Generated Content
6.1 Ownership of User Content
You retain full ownership of User Content you upload, input, or connect to the Platform.
6.2 Ownership of AI-Generated Content
Subject to these Terms and any applicable third-party rights, you generally own the AI-Generated Content produced for you by the Platform. However, you acknowledge that:
AI-Generated Content may be similar or identical to content generated for other users;
We cannot guarantee exclusivity or originality;
You are solely responsible for ensuring that any AI-Generated Content does not infringe third-party rights.
6.3 License to Socioo.ai (for operation)
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and use your Content only as necessary to:
Provide, maintain, and improve the Platform;
Generate AI-Generated Content based on your prompts;
Schedule and publish your posts on Third-Party Platforms at your direction;
Provide customer support and troubleshoot issues.
We do not use your Content to train or improve any generalized AI models.
6.4 Your representations and warranties
You represent and warrant that:
You have all necessary rights, licenses, and permissions to submit Content to the Platform;
Your Content does not infringe any copyright, trademark, privacy, publicity, or other rights of any third party;
Your Content and your use of the Platform do not violate any applicable law, regulation, or Third-Party Platform guideline.
6.5 Our right to remove content
We reserve the right (but not the obligation) to review, block, or remove any Content that:
We reasonably believe is illegal, harmful, or violates these Terms; or
We are required to remove by law or by a competent authority.
7. Use of AI & User Responsibility
7.1 AI is assistive, not a substitute for judgment
Socioo.ai uses AI to help you generate and manage content. AI-Generated Content may:
Be inaccurate, incomplete, or outdated;
Contain errors, biased language, or inappropriate suggestions;
Fail to comply with platform-specific rules, advertising standards, or legal requirements.
You must review, edit, and approve all AI-Generated Content before publishing or relying on it.
7.2 No guarantees on results
We do not guarantee any specific:
Follower growth, engagement, reach, impressions, or conversions;
Business results, revenue, or performance;
Legal or regulatory compliance.
You use AI-Generated Content at your own risk.
7.3 No model training on your content
We do not use your Content (including prompts, uploads, and AI-Generated Content) to train or improve generalized AI models. We may, however, use high-level, aggregated, and anonymized usage data (e.g., feature usage metrics) to understand how the Platform is used and to improve performance and reliability.
8. Prohibited Content & Activities
You agree not to use the Platform to:
Generate, upload, or distribute content that is:
Explicitly sexual, pornographic, or exploitative;
Hateful, harassing, or inciting violence or discrimination;
Defamatory, fraudulent, or misleading;
Terrorism-related or promoting illegal activities;
Otherwise illegal under applicable law.
Violate any Third-Party Platform’s terms, community guidelines, or API policies;
Spam or send unsolicited bulk messages or content;
Manipulate social media metrics (e.g., likes, follows, comments) in ways prohibited by platforms;
Attempt to gain unauthorized access to any systems, networks, or data;
Interfere with the security, performance, or proper functioning of the Platform;
Reverse engineer or attempt to extract source code from our software.
If you engage in any of the above, you are solely responsible for the consequences, and we may suspend or terminate your account immediately.
9. Plans, Subscriptions, Trials & Refunds
9.1 Plans and billing
Socioo.ai offers different plans, including monthly and annual Subscriptions, and may offer free trials or promotional offers (such as low-cost trial periods). The specific features and prices of each plan will be described on our pricing or checkout pages.
All fees are payable in advance for the applicable billing period and are non-refundable, except as explicitly stated in this Section.
9.2 Auto-renewal
Unless otherwise stated, all paid Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price, until cancelled by you or us.
You can cancel your Subscription at any time through your account settings or by contacting support, but cancellation will only take effect at the end of the current billing period, subject to the refund conditions below.
9.3 Free trials & promotional periods
We may, from time to time, offer free trials or promotional pricing (e.g., low-cost trial periods). The specific duration and terms will be shown at sign-up.
If you do not cancel before the end of such a trial or promotional period, your Subscription may automatically convert to a paid plan at the then-current rate.
Free trials and promotional periods are generally not refundable.
9.4 Refunds – annual subscriptions
For annual Subscription fees:
If you cancel within 30 days of the annual payment (or renewal), you are eligible for a full refund of that annual fee.
If you cancel more than 30 days after the annual payment but before the end of the 11th month of your annual term, you will receive a pro-rated refund for any full unused months remaining after the effective cancellation date.
If you cancel during the 12th month of your annual term, no refund will be provided, but you will retain access to the Platform until the end of the already-paid annual period.
9.5 Refunds – monthly subscriptions
For monthly Subscription fees:
If you cancel within the first 15 days of a monthly billing cycle (counting from the billing date as Day 1), you are eligible for a full refund of that month’s fee.
If you cancel between Day 16 and Day 27 of a monthly billing cycle, you are eligible for a 50% refund of that month’s fee.
If you cancel on or after Day 28, no refund will be provided for that billing cycle, but you will retain access to the Platform until the end of the already-paid monthly period.
9.6 How refunds are issued
Approved refunds will be processed using the same payment method used for the original transaction where possible. Processing times may depend on your bank or payment provider.
9.7 Pricing changes
We may change our pricing and plan structures from time to time. Any changes will apply at the next billing cycle, and we will make reasonable efforts to notify you in advance where required. Continued use of the Platform after the new pricing takes effect constitutes your acceptance of the new prices.
10. Data Storage, Retention & Scheduled Posts
10.1 Active accounts
For active, paid accounts, we retain your Content and account data for as long as your account remains active, subject to our Privacy Policy.
10.2 Trial accounts
After your free trial or promotional trial ends:
Your account and its data (including posts, drafts, and analytics) will be retained for up to 7 days after the trial end.
You must publish or schedule any posts no later than 7 days from the trial end date if you want them to be executed.
After this 7-day period, we may permanently delete your data, and you are solely responsible for exporting or backing up your Content before that time.
10.3 Cancelled paid accounts (monthly & annual)
If you cancel a paid Subscription:
Your account data, Content, and related analytics will be retained for up to 21 days after the effective cancellation date.
After this 21-day retention period, we may permanently delete all data associated with your account, with no option for recovery.
You are solely responsible for exporting or backing up your Content before the retention period ends.
10.4 Scheduled posts after trial end or cancellation
After your trial ends or your paid Subscription is cancelled:
Socioo.ai does not take responsibility for publishing any scheduled posts after the effective end date of your trial or Subscription.
As a favor, we may attempt to publish posts that were scheduled within the retention period:
Up to 7 days after trial end; and
Up to 21 days after cancellation of a paid account.
Beyond these periods, all Content and scheduling data may be permanently deleted, and we do not guarantee any further executions of scheduled posts.
10.5 Termination for violation or security reasons
If we terminate or suspend your account due to:
Policy violations;
Illegal or abusive behavior;
Security risks; or
Non-payment,
we may delete your data immediately and are not obligated to maintain or provide access to any Content, except as required by law or for our own legal and security purposes.
11. Data Security & Privacy
11.1 Security
We use industry-standard measures to help protect your data. However, no system is completely secure, and we cannot guarantee absolute security.
11.2 Privacy Policy
Our collection, use, and protection of personal data are governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

12. Support & Communication
12.1 Support channels
We provide support to users via:
In-app chat support, which may be powered by AI for instant responses to general queries; and
Email support at [email protected].
12.2 Escalation to live agents
If the AI assistant cannot resolve your issue, your query may be escalated to a live support agent. If a live agent is not available (for example, due to time zone differences), you may be prompted to leave a message or send an email.
12.3 Response time
We aim to respond to email queries within 4 business days. In many cases, we will respond sooner, subject to availability and workload.
13. Intellectual Property
13.1 Our IP
The Platform, including all software, code, design, interfaces, text (excluding your Content), graphics, logos, trademarks, and other materials, is owned by or licensed to DigiSphere Solutions Pvt. Ltd. and protected by intellectual property laws.
13.2 No transfer of ownership
Nothing in these Terms transfers any ownership rights in the Platform to you. You are granted only a limited license to use the Platform as described in Section 4.
13.3 Use of our brand
You may not use our name, logos, or trademarks without our prior written consent, except as necessary to truthfully refer to our services (e.g., “posted using Socioo.ai”).
14. Disclaimers
14.1 “As-is” and “as-available”
The Platform and Services are provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express, implied, or statutory.
14.2 No warranties
We specifically disclaim all warranties, including but not limited to:
Fitness for a particular purpose;
Merchantability;
Non-infringement;
Accuracy, reliability, or completeness of results;
Continuous or error-free operation.
14.3 Third-party changes
We are not responsible for:
Downtime or interruptions caused by Third-Party Platforms or service providers;
API changes, limitations, or rate limits imposed by social media platforms;
Loss of access, reduced reach, or other changes resulting from platform policy updates.
15. Limitation of Liability
To the maximum extent permitted by law:
Socioo.ai and DigiSphere Solutions Pvt. Ltd. shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising out of or related to these Terms or the use of the Platform shall not exceed the greater of:
The amounts you paid to us for the Services in the three (3) months immediately preceding the claim; or
An equivalent of USD 100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you where prohibited by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless DigiSphere Solutions Pvt. Ltd., Socioo.ai, and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Platform;
Your Content (User Content or AI-Generated Content);
Your violation of these Terms;
Your violation of any law or any rights of a third party; or
Any actions or enforcement taken by Third-Party Platforms in relation to your accounts or content.
17. Suspension & Termination
17.1 By you
You may cancel your Subscription and/or close your account at any time through your account settings or by contacting support, subject to the data retention and refund terms set out above.
17.2 By us
We may suspend or terminate your access to the Platform, in whole or in part, at any time, with or without notice, if:
You violate these Terms or applicable laws;
Your use poses a security, legal, or operational risk;
You fail to pay any fees due;
We discontinue the Platform or any part of it.
Upon termination, your license to use the Platform will cease, and we may delete your data in accordance with Section 10.
18. Changes to the Service & Terms
18.1 Service changes
We may modify, add, or remove features, or discontinue the Platform (or any part of it) at any time. Where practicable, we will attempt to provide notice of material changes that affect existing users.
18.2 Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. In some cases, we may provide additional notice (e.g., via email or in-app notification).
By continuing to use the Platform after the updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Platform.
19. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.
Any disputes arising out of or in connection with these Terms or the use of the Platform shall be subject to the jurisdiction of the competent courts in India, unless otherwise required by mandatory applicable law.
20. Miscellaneous
Entire agreement: These Terms, together with our Privacy Policy and any specific plan or offer terms presented at checkout, constitute the entire agreement between you and us regarding the use of the Platform.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, or other corporate transaction, or otherwise at our discretion.
